By creating an account, accepting an onboarding invitation, using our website or app, or processing transactions through SwapnoPay, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, do not use the services or access the platform.

SwapnoPay provides merchant payment, POS, invoice, ledger, analytics, cash-flow management, payment collection, and related business tools. The platform may evolve over time with updates, enhancements, new features, or service changes.

We may modify features, pricing, or availability to improve reliability, security, performance, or regulatory compliance.

You agree to provide accurate account and business information, maintain up-to-date records, protect your login credentials, and use the services lawfully and responsibly.

You are responsible for all activity under your account, including authorized usage by employees, agents, or other internal users.

You agree not to misuse the platform for fraud, illegal trade, money laundering, scam activity, phishing, or any activity prohibited by applicable law.

SwapnoPay may act as a technical facilitator or service provider for payment processing and settlement operations. Settlement timing, fees, chargebacks, reversals, refunds, and dispute handling may vary based on provider policies, payment methods, and the specific merchant arrangement.

Merchants are responsible for honoring customer transactions, refunds, and service obligations as represented in their business operations and policies.

We may require identity verification, business validation, KYC checks, NID documentation, selfie verification, or other compliance information before enabling or continuing certain services.

Failure to provide required compliance information may result in temporary suspension, delayed onboarding, or account restrictions.

You must protect your passwords, API keys, devices, and access tokens. If you believe your account has been compromised, notify us immediately.

We will use reasonable security measures to protect user and merchant data, but no online platform can guarantee absolute security against unauthorized access or breaches.

You may not use the platform for unlawful activity, misinformation, abusive behavior, fraud, unauthorized access, scraping, reverse engineering, tampering, or any action that interferes with service integrity or security.

You may not attempt to bypass security protections, exploit system vulnerabilities, or provide false merchant or transaction information.

All platform content, branding, software, design elements, documentation, and proprietary materials are owned by SwapnoPay or its licensors and remain protected by copyright, trademark, and intellectual property laws. You may only use materials in accordance with written authorization or service agreement.

SwapnoPay is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, error-free operation, or zero losses from technical issues, outages, third-party service disruption, or external incidents beyond our reasonable control.

To the maximum extent permitted by law, SwapnoPay shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services, except for liability expressly required by law.

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law provisions. Any dispute arising from these Terms or service use shall be subject to the jurisdiction of the courts in Bangladesh unless otherwise required by applicable law.

We may update these Terms from time to time to reflect new features, legal changes, or operational needs. Continued use of the services after changes are published means you accept the updated Terms.
